Terms of Service

1. Definitions

• "Xytro," "we," "us," "our" — Xytro Labs, the provider of the Services.
• "Services" — The software platforms operated by Xytro Labs, including The Vault (cloud storage), Xytro One (identity), Xena AI (artificial intelligence), NOVA (collaboration), Indent (programming language), and Zor (transpiler), accessible via xytro.site and its subdomains.
• "User," "you," "your" — Any individual or entity that accesses or uses the Services.
• "Content" — Any data, text, files, code, images, messages, or other materials submitted, stored, or transmitted through the Services.
• "API" — The Xena AI application programming interface, accessible at ai.xytro.site.

2. Eligibility & Account Registration

2.1 Eligibility

You must be at least 13 years of age to use the Services. By creating an account, you represent that you meet this age requirement.

2.2 Account Creation

When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use at [email protected]

2.3 Account Types

We offer free accounts with access to core features. Paid tiers and API access are available through Xena API Keys (ai.xytro.site).

3. Proprietary Rights

3.1 Your Content

You retain full ownership of all Content you create, upload, or transmit through the Services. Xytro does not claim ownership over your Content.

3.2 License to Operate

By using the Services, you grant Xytro a limited, non-exclusive license to process, store, and transmit your Content solely as necessary to provide the Services to you. This license ends when you delete your Content or account.

3.3 Feedback

Any feedback, suggestions, or ideas you provide about the Services may be used by Xytro without obligation or compensation.

3.4 Open Source Components

Xytro Labs makes use of the following open-source components, used in accordance with their respective licenses:

• Express (Node.js) — core web framework for our API services
• aiaio (Apache-2.0) — the Xena AI chat interface is derived from it (see §5.5)
• OrioSearch / SearXNG — self-hosted web search for Xena AI
• WAASH, Indent, Zor — Xytro Labs open-source tools (MIT)

Other Xytro Labs services (Xena AI, Reefs, NOVA, The Vault, Xytro One) remain proprietary.

4. Acceptable Use Policy

You agree not to use the Services to:

1. Violate any applicable law, regulation, or third-party rights
2. Send unsolicited bulk email (spam), phishing messages, or malware
3. Harass, threaten, defame, or impersonate others
4. Distribute child sexual abuse material (CSAM) or content that exploits minors — any such content will be reported to law enforcement immediately
5. Generate or distribute content that is fraudulent, deceptive, or designed to mislead
6. Interfere with, disrupt, or overload the Services or their infrastructure
7. Attempt to gain unauthorized access to accounts, systems, or data
8. Use automated tools (scraping, bots, crawlers) in a manner that imposes unreasonable load, unless via the official API with a valid key
9. Resell, sublicense, or redistribute API access without a written partnership agreement
10. Use AI models to generate illegal content, hate speech, or content that promotes violence
11. Store or distribute malware, ransomware, or code intended to cause harm in a Reefs repository
12. Store code in a Reefs repository that you do not have the right to distribute, or use repository hosting to infringe anyone's copyright, licence terms, or trade secrets

5. Xena AI & Reefs — Service-Specific Terms

5.1 API Access

The Xena AI API is provided on a per-request basis, billed in credits ($1 = 10000 credits, so 1 credit = $0.0001). Each request is charged at the rate for the model it uses, multiplied by the request's band, which is set by its prompt and completion tokens: band 1 covers up to 4,096 tokens (x1), band 2 up to 16,384 (x2), band 3 up to 65,536 (x4), band 4 up to 262,144 (x8) and band 5 up to 1,048,576 (x16). Each band covers four times the tokens of the one below it and doubles the multiplier, so a longer request costs less per token. A model is never charged for a band its context window cannot reach — Xena's window is 65,536 tokens, so it costs at most 80 credits. The current lineup and rates are published at ai.xytro.site and are subject to change with notice.

Requests are billed per call, in credits: $1 buys 10000 credits (1 credit = $0.0001). The cheapest models cost 20 credits per request. Cache hits, when caching is enabled, are billed at 10% of the normal request price.

Free access is available when using Xena AI through the official chat interface (xena.xytro.site), subject to rate limits. On the free chat interface, Xena Think and Xena Think XL are reserved for Xytro Gold subscribers. API keys are issued with $1.00 free credit on the first key.

5.2 Model Processing & Anonymised Requests

Xena AI models are served either on Xytro Labs' own infrastructure or by third-party model providers. Where a model is served by a third-party provider, your request is anonymised before transmission:

• Sent as Xytro, not as you. Requests are transmitted on behalf of Xytro Labs. We do not send your name, email address, username, account or API key identifier, IP address, or any other account metadata to the provider.
• No user attribution. As no user identifiers accompany the request, the provider cannot attribute it to you as an individual.
• Content is still transmitted. The prompt you submit — and any text, image, or file content you include — must be transmitted for the model to generate a response, and is processed by the serving provider for that purpose.

You are responsible for what you submit. Do not send content that you are not permitted to disclose to a third-party model provider — for example, confidential information belonging to someone else, or personal data you are not authorised to share.

5.3 AI-Generated Content

Content generated by Xena AI models is not guaranteed to be accurate, complete, or appropriate. You are solely responsible for evaluating and verifying AI-generated content before relying on it. Xytro Labs makes no warranties regarding AI outputs.

5.4 Prohibited AI Use

You may not use Xena AI to:

• Generate content that is illegal, harmful, or violates the Acceptable Use Policy
• Create deepfakes or deceptive media intended to mislead or defraud
• Automate decisions in domains where errors could cause harm (healthcare, legal, financial advice without human oversight)
• Train competing AI models using Xena AI outputs

5.5 Third-Party Open-Source Components

Xena AI is built on and incorporates third-party open-source software. We are grateful to, and credit, the following projects that make the Xena AI service possible:

• The Xena AI chat interface is derived from the open-source project aiaio by abhishekkrthakur, licensed under the Apache License 2.0.

All third-party open-source components are used in accordance with their respective licenses. Nothing in these Terms restricts the rights you may have under the applicable open-source licenses of the incorporated components.

5.6 Reefs — Repositories

Reefs provides git repository hosting. You retain all rights to the code and content you store in a repository; you grant Xytro Labs the licence necessary to store, transmit, and display it in order to operate the Service.

• Repositories are real git, and history is retained. A repository keeps every commit, branch, and stored version of every file. Removing a file in a later commit does not remove the earlier version — it remains part of the repository's history. Only deleting the repository removes it and releases the storage it held.
• Storage and quota. Repositories count toward the storage quota of the account that owns them, alongside your other files. The quota is checked before a write; a write that would exceed it fails and nothing is committed.
• Fair-use limits. We apply a maximum number of repositories per account, a per-file size limit, and a per-commit file limit. These exist so one account cannot exhaust shared infrastructure, and they are enforced at the point of the write.
• Access. Repositories are private and reachable only by their owning account using the Services' own credentials. They are never publicly readable.
• AI operations on your repositories. Xena AI can read from and write to your repositories at your request. To do so, the affected files must be transmitted to the model that performs the operation — this is the same disclosure described in §5.2, and it happens only when you request a repository operation. Repository operations run on a code-focused model, and anything written lands as a commit in the repository you specified.
• Deletion is irreversible. Deleting a repository removes it and its history. We cannot recover it.

5.7 Organisations

• What an organisation is. An organisation is a namespace that groups repositories under a single owning Xytro account. It is not a separate account and it does not create a separate identity, sign-in, or storage allowance.
• Storage. Repositories belonging to an organisation are stored within, and count toward the quota of, the account that owns the organisation. An organisation cannot be used to exceed that account's quota.
• Responsibility. The account that creates an organisation is responsible for everything stored in it and for complying with these Terms in respect of it.
• Access today. At present only the owning account can reach an organisation's repositories: there is no membership, role, or sharing model, and no way to grant another account access. If we introduce one, these Terms and the Privacy Policy will be updated first.

6. Indent & Zor — Local Tools

Indent and Zor are developer tooling that operates locally on your machine. These tools:

• Do not require an account (unless using cloud features like package sharing)
• Do not collect, transmit, or store your source code, build artifacts, or usage data
• Are subject to these Terms only when using Xytro-hosted services (e.g., package registries, sharing features)

7. Payment & Billing

7.1 API Credits

Xena AI API usage is prepaid via credit balance. Credits are non-refundable except as required by law. Unused credits do not expire.

7.2 Pricing Changes

We reserve the right to modify pricing with 30 days' notice. Price changes do not affect prepaid credits.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Schedule maintenance with reasonable advance notice when possible
• Suspend access for emergency security or infrastructure reasons
• Modify or discontinue features with notice

9. Termination

9.1 By You

You may terminate your account at any time through your account settings at xytro.site/account. Upon termination, your data will be permanently deleted within 30 days.

9.2 By Us

We may suspend or terminate your account if you violate these Terms, with notice where reasonably possible. We may also terminate inactive accounts after 12 months of inactivity, with prior email notice.

9.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. Provisions that by their nature should survive termination (including proprietary rights, disclaimers, and liability limitations) will survive.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XYTRO LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

XYTRO LABS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO XYTRO LABS IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Xytro Labs and its affiliates from any claims, damages, or expenses arising from your use of the Services, your Content, or your violation of these Terms.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within 30 days.

13.2 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

14. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via:

• Email to your account email address (at least 30 days before the change)
• A prominent notice on the Xytro Labs website

Continued use after changes take effect constitutes acceptance. If you disagree, you must stop using the Services and delete your account.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Xytro Labs.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

15.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
